Welcome to AccuraSol! These Terms and Conditions govern your access to and use of our software testing and quality assurance services. By engaging our Services, you agree to comply with these Terms.

1. Definitions

  • "Client" refers to the individual, company, or entity that engages AccuraSol for Services.
  • "Company" refers to AccuraSol.
  • "Service Agreement" refers to a written agreement signed between the Client and Company detailing project-specific terms.

2. Services Provided

  • Scope of Services: AccuraSol offers software testing and quality assurance services, including but not limited to functional testing, performance testing, security testing, automation, and manual testing.
  • Customization of Services: We tailor our services based on the Client's specific requirements, as outlined in the Service Agreement.
  • Service Deliverables: Service deliverables, timelines, and other project-specific terms will be specified in the Service Agreement.

3. Responsibilities of the Client

  • Project Requirements: The Client must provide all necessary project documentation, access credentials, and other relevant information needed to conduct testing effectively.
  • Communication: The Client agrees to maintain timely communication with the Company to facilitate smooth workflow and address any questions or concerns.
  • Confidentiality: The Client agrees to safeguard the Company’s proprietary methodologies, processes, and any confidential information shared during the engagement.

4. Confidentiality and Data Security

  • Confidential Information: Both parties agree to treat any sensitive information as confidential and only use it as necessary to perform or receive the Services.
  • Data Protection: The Company will take reasonable measures to protect the Client’s data during testing. However, the Client should provide only essential data required for testing to minimize exposure.
  • Non-Disclosure Agreement (NDA): At the Client’s request, both parties can enter into a separate NDA to ensure data security.

5. Payment Terms

  • Pricing: The fees for Services will be outlined in the Service Agreement. The Company reserves the right to adjust pricing for additional requests outside of the original scope.
  • Billing and Payment Schedule: Payment terms, including deposit requirements, invoicing, and due dates, will be specified in the Service Agreement.
  • Late Payment: In case of late payment, the Company reserves the right to suspend Services until payment is received in full.

6. Intellectual Property

  • Ownership of Deliverables: Upon full payment, the Client shall own all final testing reports and deliverables.
  • Company’s Proprietary Tools: The Company retains ownership of its proprietary testing tools, methodologies, and any pre-existing intellectual property utilized during testing.

7. Warranties and Disclaimers

  • Quality of Services: AccuraSol commits to delivering services in a professional and timely manner. However, the Company does not warrant that all issues will be identified or that tested software will be error-free.
  • No Guarantee of Results: The Company does not guarantee any specific outcomes from testing services, as final software quality depends on the Client’s internal development practices and rectification of identified issues.

8. Limitation of Liability

  • To the maximum extent permitted by law, the Company shall not be liable for any indirect, incidental, consequential, or special damages arising from or related to the Services. In no event shall the Company’s liability exceed the total amount paid by the Client for the Services.

9. Termination

  • Termination by Client: The Client may terminate the engagement with written notice, subject to the terms outlined in the Service Agreement.
  • Termination by Company: The Company reserves the right to terminate the engagement if the Client breaches these Terms or the Service Agreement.
  • Effect of Termination: Upon termination, the Client will pay for all completed and partially completed work, as outlined in the Service Agreement.

10. Amendments

  • The Company reserves the right to modify these Terms. Clients will be notified of any changes that materially affect their rights or obligations.
